Eligible businesses may either be for- or non-profit but must be either incorporated or organized with articles filed and accepted by the Georgia Secretary of States office. Business entities which have been voluntarily or administratively dissolved will not be eligible. Drawings of the winning business will be conducted once per week from a pool of submissions beginning on February 15, 2012. The winning business will receive the opportunity to submit organizational documents to be reviewed by the attorney at no cost and free of any charge. "Organizational documents" as used herein shall mean and be limited to only the following: the corporation's or limited liability company's original and any amended articles, bylaws or operating agreement, all unanimous consents or meeting minutes, and annual reports to the Secretary of State.
Please note: a submission of fewer than all of the organizational documents will hamper the attorney's ability to evaluate the sufficiency of the business entity's organization. Each winning business will be notified within two (2) business days following the drawing by e-mail. Beginning upon the day it is notified, the winning business shall have one (1) calendar week to submit .pdf copies of its signed, original organizational documents by reply e-mail. A winning business' failure to submit its organizational documents within the time frame set forth herein shall be deemed a waiver of the business' option to claim its free document review. Following receipt of the documents, the attorney shall conduct a review of them and return to the winning business a memorandum report either noting that the documents appear sufficient or listing any insufficiencies detected by the attorney and setting forth the attorney's recommendation for correcting any such insufficiencies.
